Terms of Service

1. Acceptance of Terms

By accessing or using myGst.co.nz ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

myGst.co.nz provides GST tracking, receipt management, and cashflow visibility tools for New Zealand small businesses. The Service includes:

  • Receipt and invoice upload and storage
  • OCR data extraction from documents
  • GST calculation and reporting
  • Export functionality for accountants

3. Not Tax Advice

Important: myGst.co.nz is a software tool for tracking and organizing your GST-related data. We do not provide tax, legal, or accounting advice. The calculations and reports generated by the Service are estimates based on the data you provide and automated processing.

You acknowledge and agree that:

  • You will not rely on the Service as your sole source of tax information
  • You are solely responsible for verifying the accuracy of all GST calculations
  • You will consult with a qualified accountant or tax advisor for tax decisions
  • You are responsible for ensuring compliance with IRD requirements
  • You will perform final verification before filing GST returns
  • We are not responsible for any tax penalties, interest, or liabilities arising from your use of the Service

4. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

5. Subscription and Payments

5.1 Free Tier

The Starter plan is free and includes up to 25 receipts per month. No credit card is required.

5.2 Paid Plans

Pro and Business plans are billed monthly in advance. Prices are shown in NZD and exclude GST. You can cancel anytime from your account settings.

5.3 Refunds

If you are not satisfied with a paid plan within the first 14 days, contact us for a full refund. No refunds are provided after 14 days.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload fraudulent or forged documents
  • Attempt to gain unauthorized access to the Service
  • Interfere with other users' accounts
  • Reverse engineer or scrape the Service
  • Upload malware or harmful content

7. Data and Content

7.1 Your Content

You retain ownership of all receipts, invoices, and data you upload. You grant us a license to process this data solely to provide the Service.

7.2 Data Export

You can export your data at any time in CSV format. If you cancel your subscription, you retain access to the free tier features and your existing data.

8. Service Availability and Data Security

8.1 Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability.

8.2 No Warranty of Security

While we implement industry-standard security measures (encryption, access controls, monitoring), we cannot guarantee that the Service will be completely secure or that unauthorized third parties will never be able to defeat our security measures or access your data for improper purposes.

You acknowledge that:

  • No internet transmission is completely secure
  • Data breaches may occur despite our reasonable efforts
  • You transmit data to the Service at your own risk

8.3 Your Security Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Using strong, unique passwords
  • Notifying us immediately of any unauthorized access
  • Ensuring your devices are secure and free from malware

We are not liable for any loss arising from unauthorized access to your account resulting from your failure to secure your credentials.

8.4 Data Loss

While we maintain backups and disaster recovery procedures, we cannot guarantee against data loss. You are responsible for maintaining your own backups of critical data using the export functionality we provide.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law:

9.1 Nature of Service

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Accuracy

We do not guarantee that:

  • OCR extraction will be 100% accurate
  • GST calculations will be error-free
  • The Service will be uninterrupted or error-free
  • Data loss will not occur

You are responsible for verifying all extracted data and calculations before use.

9.3 Liability Cap

To the extent permitted by law, our total liability to you for any claim arising from or relating to these Terms or the Service is limited to the greater of:

  • The amount you paid us in the 12 months preceding the claim, or
  • NZD $100

9.4 Excluded Damages

To the extent permitted by law, we are not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of substitute goods or services
  • Any damages arising from your reliance on GST calculations or OCR output
  • Damages resulting from unauthorized access to your account due to your failure to secure your credentials

9.5 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including:

  • Fraud or fraudulent misrepresentation
  • Death or personal injury caused by negligence
  • Statutory consumer guarantees under the Consumer Guarantees Act 1993 (if applicable)

9.6 Your Responsibility for Backup

You are responsible for maintaining your own backups of critical business data. While we implement reasonable security measures, you should not rely solely on the Service for data storage. We recommend regularly exporting your data via the CSV export feature.

10. Termination

10.1 By You

You may delete your account at any time from your account settings. Upon deletion, your data will be retained only as required by New Zealand law (e.g., tax records for 7 years) and then permanently deleted.

10.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use the Service for illegal purposes
  • Upload fraudulent or harmful content
  • Fail to pay for paid plans after reasonable notice

10.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • Any pending exports should be completed before termination
  • Provisions of these Terms that by their nature should survive termination will survive

We are not liable for any loss of data or business interruption resulting from termination of your account, whether by you or by us.

11. Changes to Terms

We may update these terms from time to time. We will notify you of significant changes. Continued use of the Service after changes constitutes acceptance of the new terms.

12. Indemnification

You agree to indemnify, defend, and hold harmless myGst.co.nz, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload to the Service
  • Your tax filings or decisions based on Service output
  • Any dispute between you and your accountant or IRD

This indemnification obligation survives termination of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of New Zealand. You submit to the jurisdiction of these courts and waive any objection to venue in such courts.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

14. Dispute Resolution

Before filing any claim against us, you agree to try to resolve the dispute informally by contacting us at legal@mygst.co.nz. We'll try to resolve the dispute informally within 30 days. If we're unable to, you or we may bring a formal proceeding.

Any claim arising from these Terms or the Service must be brought within one (1) year after the cause of action arises, or it is forever barred.

15. Class Action Waiver

To the extent permitted by law, you agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class actions against us.

16. Entire Agreement

These Terms constitute the entire agreement between you and myGst.co.nz regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
